Terms and Conditions

In plain English: These are the rules for using Ubiqitum. We've included short plain-English summaries like this one throughout. They're there to help you understand what each section means, but only the main text is legally binding.

Welcome to Ubiqitum. These Terms and Conditions ("Terms") govern your access to and use of the Ubiqitum brand health analysis platform, including any associated websites, applications, APIs, and services (collectively, the "Service").

By creating an account, clicking to accept these Terms, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

The entity you are contracting with is Ubiqitum Pty Ltd (ACN 687 452 099), a company registered in Australia, with its registered office at 21-23 Stewart Street, Richmond VIC 3121 Australia ("Ubiqitum", "we", "us", or "our").

In these Terms, "you" and "your" refer to the individual or entity using the Service.


1. The Service#

In plain English: Ubiqitum is a software tool that uses AI to produce brand health scores. We can change how the Service works over time, but we won't remove significant functionality during your paid subscription term.

Ubiqitum is a software-as-a-service platform that analyses publicly available information about brands and generates brand health scores, executive summaries, and related analytical outputs using artificial intelligence ("AI") models and automated data-gathering techniques ("Outputs").

The Service is made available through our website at www.ubiqitum.com and associated applications. We may modify, add, or remove features of the Service from time to time. We will not materially reduce the core functionality of a paid plan during its then-current subscription term without providing you with reasonable notice and, where applicable, a pro-rata refund.

The Service is a tool to support marketing and commercial decision-making. It is not a substitute for independent professional judgment, market research, or legal or financial advice.


2. Eligibility and accounts#

To use the Service you must:

  • be at least 18 years old, or the age of legal majority in your jurisdiction;
  • have the legal capacity to enter into a binding contract; and
  • not be barred from receiving the Service under the laws of Australia or any other applicable jurisdiction.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and references to "you" include that organisation.

Account registration

You may use certain limited features as an anonymous user. Full access to the Service requires you to create an account using a valid email address or a supported third-party login. You are responsible for:

  • providing accurate, current, and complete information;
  • maintaining the confidentiality of your login credentials; and
  • all activity that occurs under your account.

You must notify us promptly at support@ubiqitum.com if you suspect any unauthorised use of your account.


3. Plans, fees and billing#

In plain English: We offer a free tier and paid plans. Paid plans renew automatically each month until you cancel. Payments are handled by Stripe, and we don't store your card details.

3.1 Plan tiers

We currently offer the following plan tiers, which may be varied from time to time:

  • Free: limited daily scans and features, provided at no cost;
  • Pro: expanded daily scans, additional data signals, and premium features, billed monthly; and
  • Enterprise: custom volumes, API access, and additional support, under a separate order form or agreement.

Current features, limits and pricing for each tier are published on our pricing page and form part of these Terms.

3.2 Payment

Paid plan fees are charged in advance on a recurring monthly basis, unless another billing cycle is agreed. All fees are stated in the currency shown at checkout and are exclusive of applicable taxes (including GST, VAT, or sales tax), which will be added where required by law.

Payments are processed by Stripe, Inc. ("Stripe"). By providing payment details, you authorise us and Stripe to charge the specified amount to your payment method on each billing date. We do not store full payment card details; these are held by Stripe in accordance with its terms and its PCI-DSS-compliant infrastructure.

3.3 Automatic renewal and cancellation

Paid subscriptions renew automatically at the end of each billing period at the then-current rate, unless you cancel before the renewal date. You can cancel your subscription at any time via the billing area of your account or the Stripe Customer Portal. Cancellation takes effect at the end of your then-current billing period. We do not provide pro-rata refunds for partial months, except where required by law (including the Australian Consumer Law).

3.4 Failed payments

If a payment fails, we may suspend or downgrade your access to paid features. If the failure is not resolved within a reasonable period, we may terminate your paid plan and revert your account to the free tier.

3.5 Price changes

We may change our fees from time to time. We will provide at least 30 days' notice of any price increase affecting your subscription, and the new price will take effect on your next renewal after the notice period. If you do not agree to the new price, you may cancel before it takes effect.


4. Acceptable use#

In plain English: Use Ubiqitum for lawful brand analysis. Don't try to break it, abuse it, scrape it, or use it to harm others.

You agree not to, and not to permit anyone else to:

  • use the Service for any unlawful purpose or in breach of any applicable law, regulation, or third-party right;
  • submit brand URLs or inputs that you know contain malware, illegal content, or infringing material;
  • attempt to reverse engineer, decompile, or extract the underlying models, prompts, or scoring logic of the Service, except to the extent this restriction is prohibited by law;
  • circumvent rate limits, plan tier restrictions, or access controls, including by creating multiple accounts to exceed a free tier;
  • scrape, spider, or bulk-download Outputs, data, or other content from the Service except through features we expressly provide;
  • use the Service to build, train, or improve any competing product or machine-learning model;
  • resell, sublicense, or redistribute the Service or Outputs to third parties, except in accordance with an Enterprise plan or other written agreement with us;
  • interfere with or disrupt the Service, the servers or networks connected to it, or other users' use of it; or
  • use the Service to make fully automated decisions that have significant legal or similar effects on individuals without appropriate human oversight.

Ubiqitum expressly prohibits the use of the Service or Outputs for misinformation, defamation, or reputational harm. Repeated or intentional breaches may result in immediate suspension or termination.

We may investigate suspected breaches of this section and may suspend or terminate your account without notice if we reasonably believe you have breached these Terms.


5. Artificial intelligence and Outputs#

In plain English: Our scoring is AI-generated. It's useful, but it's an estimate, not a definitive measurement. You're responsible for how you use the Outputs.

5.1 How the Service works

The Service uses large language models and other AI techniques to generate brand health scores, executive summaries, and related analysis from publicly available inputs (such as the content of a brand's homepage, news coverage, and other public signals).

You acknowledge and agree that:

  • Outputs are generated by AI and may contain inaccuracies, omissions, biases, or hallucinations;
  • the same or similar inputs may produce similar or substantially similar Outputs for other users;
  • scores are estimates informed by available data and the model's reasoning, not definitive or scientifically measured values;
  • historical comparisons may be model-estimated until sufficient real historical data has accumulated for your brand;
  • the Service is not designed for, and must not be used as, the sole basis for decisions that have a material legal, financial, health, safety, or similar effect on any individual.

5.2 Ownership of Outputs

Subject to your compliance with these Terms, and to the extent we hold any rights in the Outputs, we grant you a non-exclusive, worldwide, royalty-free licence to use the Outputs generated from your scans for your internal business purposes, and for external purposes (such as client presentations or marketing collateral) provided you:

  • clearly present the Outputs as AI-generated estimates;
  • do not misrepresent the nature or accuracy of the Outputs; and
  • do not use the Outputs in a way that would bring the Service or Ubiqitum into disrepute.

We retain all rights, title and interest in and to the Service, including the underlying prompts, scoring methodology, models (or model configurations), software, database schemas, and aggregated data derived from use of the Service.

5.3 Third-party brands

When you submit a brand URL, we analyse publicly available information about that brand. You are responsible for ensuring that your submission and your use of the resulting Outputs complies with all applicable laws, including trade mark, defamation, consumer protection, and competition laws. We do not warrant that any Output about a third-party brand is accurate or suitable for any particular use.


6. Your data and privacy#

Your use of the Service is also governed by our Privacy Policy, available at www.ubiqitum.com/privacy, which explains how we collect, use, disclose, store, and protect personal information. The Privacy Policy forms part of these Terms.

You grant us a non-exclusive, worldwide, royalty-free licence to use, store, process, and transmit:

  • the brand URLs and filters you submit; and
  • the Outputs generated from them,

for the purposes of providing, maintaining, improving, and securing the Service, and for aggregated, de-identified analytics that do not identify you or any individual.

We will not use your account information or the content of your specific scans to train third-party foundation AI models, except in accordance with the terms of our AI providers (as described in the Privacy Policy) and applicable law.

De-identified and aggregated data may be used to improve Ubiqitum's own models or services. Customer-specific data will not be used to train third-party foundation models, except as disclosed and permitted under applicable law and provider terms.


7. Intellectual property#

As between you and us, we (and our licensors) own all intellectual property rights in the Service, including all software, documentation, trade marks, logos, designs, and text published by us. These Terms do not transfer any ownership rights to you.

You retain ownership of any original content you submit through the Service (such as your own uploaded materials or account information). By submitting such content, you grant us the licence described in section 6.

Feedback you provide to us about the Service (such as suggestions, bug reports, or feature requests) may be used by us without restriction or obligation to you.


8. Service availability and support#

We aim to provide the Service on a continuous basis but do not guarantee uninterrupted availability. The Service may be unavailable from time to time due to scheduled maintenance, emergency maintenance, third-party provider outages (including our cloud, AI, and payment providers), or factors beyond our reasonable control.

We may provide service-level commitments for specific plan tiers under a separate agreement (for example, an Enterprise order form). Unless expressly agreed in writing, no service-level commitment applies.

Support is provided on a commercially reasonable basis through the channels published on our website. Response times and support scope vary by plan tier.


9. Third-party services#

The Service relies on third-party providers, including Stripe (billing), Supabase (authentication and database), Anthropic (AI models), Upstash (caching and job queues), Vercel (hosting), and Cloudflare (DNS). Your use of features powered by these providers may be subject to their own terms of service. We are not responsible for third-party services or websites that we do not control.

The Service may include links to, or integrations with, third-party websites or services. We do not endorse and are not responsible for any third-party content or practices.


10. Warranties, disclaimers and liability#

In plain English: We can't promise the Service or its AI-generated Outputs are perfect or suitable for every use. Your rights under the Australian Consumer Law still apply and we don't try to exclude them. Outside those, our liability is capped.

10.1 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy conferred on you by the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or any other applicable law that cannot lawfully be excluded.

Where the Australian Consumer Law applies and the Service is not of a kind ordinarily acquired for personal, domestic or household use or consumption, our liability for breach of any applicable consumer guarantee is limited, to the extent permitted by law, to re-supplying the Service or paying the cost of having the Service re-supplied.

10.2 Disclaimer

To the maximum extent permitted by law, and subject to section 10.1, the Service and all Outputs are provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, including as to merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or availability.

Without limiting the foregoing, we do not warrant that:

  • the Service or Outputs will meet your requirements;
  • the Service will be uninterrupted, error-free, or free from harmful components;
  • Outputs will be accurate, complete, or up to date; or
  • historical, comparative, or sector data shown in the Service is suitable for any particular commercial decision.

10.3 Limitation of liability

To the maximum extent permitted by law, and subject to section 10.1:

  • neither party is liable to the other for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings, even if advised of the possibility of such damages;
  • our total aggregate liability to you arising out of or in connection with the Service and these Terms is capped at the greater of (a) the fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim, and (b) AUD $100.

10.4 Your indemnity

You agree to indemnify and hold harmless Ubiqitum, its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • your breach of these Terms;
  • your misuse of the Service or the Outputs; or
  • your violation of any law or any third-party right.

11. Term and termination#

These Terms apply from the date you first accept them and continue until terminated in accordance with this section.

You may terminate these Terms at any time by closing your account. Your paid subscription (if any) will remain active through the end of your then-current billing period unless otherwise agreed.

We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if:

  • you materially breach these Terms (including the acceptable use rules in section 4) and, where the breach is capable of remedy, you have not remedied the breach within a reasonable period after notice;
  • we are required to do so by law or by a request from a regulator or law-enforcement authority;
  • we reasonably consider that continuing to provide the Service creates a legal, security, or operational risk; or
  • we discontinue the Service (in which case we will provide reasonable prior notice and, for paid plans, a pro-rata refund of unused prepaid fees).

Suspension or termination for breach does not affect accrued payment obligations or rights arising prior to termination, to the extent permitted by law.

On termination, your right to access the Service ends. We may delete your account data in accordance with our data retention practices described in the Privacy Policy. Sections that by their nature should survive termination (including sections 5.2, 6, 7, 10, 11, 12, and 13) will survive.


12. Changes to these Terms#

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by email to the address associated with your account or by an in-product notice, before the changes take effect.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription.


13. General#

13.1 Governing law and jurisdiction

These Terms are governed by the laws of Victoria, Australia. The parties submit to the exclusive jurisdiction of the courts of Victoria and the courts of appeal from them, except that we retain the right to seek injunctive or equitable relief in any court of competent jurisdiction.

13.2 Notices

We may send notices to you by email to the address associated with your account, or by in-product notification. You may send notices to us by email to support@ubiqitum.com or by post to the registered office address set out above.

13.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations (for example, in connection with a merger, acquisition, or sale of assets) without your consent, provided the assignee agrees to comply with these Terms.

13.4 No waiver

A failure or delay by either party to exercise any right under these Terms is not a waiver of that right.

13.5 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be replaced with a valid provision that most closely reflects the original intent.

13.6 Entire agreement

These Terms, together with the Privacy Policy and any order form or written agreement expressly incorporated by reference, constitute the entire agreement between you and us relating to the Service, and supersede all prior agreements or understandings on that subject.

13.7 Relationship

Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between the parties.
